5. Description of Services
Cop Inc. provides computer systems design and related professional services within the Professional, Scientific, and Technical Services sector. Our Services include, but are not limited to, systems integration, IT infrastructure design and deployment, digital transformation consulting, cybersecurity assessments and solutions, technology strategy development, managed IT support, and custom software architecture planning. A detailed scope of Services for any specific engagement will be set forth in a separate statement of work, proposal, or service agreement executed between you and Cop Inc.
We reserve the right to modify, suspend, or discontinue any aspect of the Site or Services at any time, with or without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Site or Services. We also reserve the right to establish usage limits, restrict access to certain features, or impose new conditions on the use of the Site or Services at our sole discretion.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these provisions, including reporting such violations to law enforcement authorities.
7. Intellectual Property Rights
The Site and all of its content, features, and functionality, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, software, code, design elements, layout, and the selection and arrangement thereof, are owned by Cop Inc., its licensors, or other providers of such material and are protected by Canadian, United States, and international copyright, trademark, patent, trade secret, and other intellectual property laws.
The Cop Inc. name, the CopCore.lol domain, the CopCores mark, and all related logos, slogans, and identifiers are trademarks of Cop Inc. or its affiliates. You may not use these marks without our prior written permission. All other trademarks, service marks, and trade names appearing on the Site are the property of their respective owners.
These Terms grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site and its content for your own personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Site except as expressly permitted by these Terms or with our prior written consent. Any use of the Site not expressly permitted by these Terms is a breach of these Terms and may violate intellectual property laws.
With respect to deliverables created by Cop Inc. as part of the Services, ownership and license rights will be governed by the terms of the applicable statement of work or service agreement. Unless otherwise agreed in writing, Cop Inc. retains ownership of all pre-existing intellectual property and any tools, methodologies, frameworks, or general knowledge used in the provision of the Services.
8. User Content and Submissions
The Site may allow you to submit, upload, publish, or transmit content, including but not limited to contact form submissions, inquiries, feedback, project requirements, and other materials (collectively, User Content). You retain ownership of any intellectual property rights you hold in your User Content. By submitting User Content to us, you grant Cop Inc. a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, and process such User Content solely for the purpose of providing the Services and responding to your inquiries.
You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not infringe upon the rights of any third party, including intellectual property rights, privacy rights, or contractual rights. You are solely responsible for the accuracy, legality, and appropriateness of your User Content. Cop Inc. disclaims any liability arising from User Content submitted by you or any other user.
We reserve the right, but do not undertake the obligation, to review, monitor, or remove User Content at our sole discretion and without notice. 10. Fees and Payment Terms
Access to the Site is currently provided free of charge. However, certain Services offered by Cop Inc. are subject to fees, which will be communicated to you in a proposal, statement of work, or service agreement prior to the commencement of those Services. By engaging our fee-based Services, you agree to pay all applicable charges in accordance with the pricing, invoicing, and payment schedules set forth in the applicable agreement.
All fees are quoted and payable in the currency specified in the applicable agreement. Unless otherwise stated, fees are exclusive of applicable taxes, levies, and duties, which will be charged at the applicable rate and are your responsibility to pay. Late payments may be subject to interest charges at the rate specified in the applicable agreement or, if no rate is specified, at a rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.
We reserve the right to change our fees and pricing at any time. Any changes to fees for ongoing Services will be communicated to you with reasonable advance notice. Your continued use of the Services after the effective date of any fee change constitutes your acceptance of the revised pricing.
11. Disclaimer of Warranties
THE SITE AND ALL SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS, WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, QUIET ENJOYMENT, AND ACCURACY OF DATA. 12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COP INC., ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE USE OF OR INABILITY TO USE THE SITE OR SERVICES, OR ANY CONTENT OBTAINED THROUGH THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF COP INC. AND ITS AFFILIATES FOR ANY CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SITE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO COP INC. FOR THE SERVICES DURING THE TWELVE MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100), IF NO FEES WERE PAID.
THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF COP INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, COP INC. LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
13. Indemnification
You agree to defend, indemnify, and hold harmless Cop Inc., its affiliates, and their respective directors, officers, employees, agents, contractors, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or relating to (a) your use of or access to the Site or Services, (b) your violation of any provision of these Terms, (c) your violation of any third-party right, including without limitation any intellectual property right, publicity right, confidentiality right, or privacy right, and (d) any claim that your User Content caused damage to a third party.
This indemnification obligation will survive the termination or expiration of these Terms and your cessation of use of the Site and Services. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case you agree to cooperate with our defense of such claim. You may not settle any indemnified claim without our prior written consent.
14. Termination
These Terms will remain in full force and effect while you access or use the Site or Services. Cop Inc. may suspend or terminate your right to access or use the Site and Services at any time, with or without cause, and with or without prior notice. We may also terminate or suspend your account or access to specific Services if you breach any provision of these Terms, if we are required to do so by law, or if we decide to discontinue the Site or any part of the Services.
Upon termination of these Terms for any reason, all rights and licenses granted to you hereunder will immediately cease, and you must promptly discontinue all use of the Site and Services. You may also terminate these Terms at any time by ceasing all use of the Site and Services and, if applicable, closing your account. The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, limitations of liability, indemnification obligations, and dispute resolution provisions.
15. Governing Law and Jurisdiction
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. You and Cop Inc. agree to submit to the exclusive jurisdiction of the courts located in the Province of Quebec, Canada, for the resolution of any disputes arising out of or relating to these Terms or the Site.
The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms. If you access the Site from outside Canada, you are responsible for compliance with all local laws, and you agree that you will not access or use the Site in any manner that violates applicable law in your jurisdiction.
16. Dispute Resolution
Before initiating any formal legal proceeding, you and Cop Inc. agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof through good-faith negotiations. The party raising the dispute shall provide written notice to the other party describing the nature of the claim and the relief sought. The parties shall have a period of thirty (30) days from receipt of the notice to attempt to resolve the dispute informally.
If the dispute is not resolved through informal negotiations within the thirty-day period, either party may pursue any available legal remedies, subject to the governing law and jurisdiction provisions set forth in these Terms. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where such relief is necessary to prevent irreparable harm.
You agree that any claim or cause of action arising out of or related to these Terms or the Site must be filed within one (1) year after such claim or cause of action arose, or it shall be permanently barred, notwithstanding any statute of limitations or other law to the contrary.

Cop Inc. reserves the right, at its sole discretion, to modify or replace these Terms at any time.
